		<description><![CDATA[I agree.  boards should definitely be proactive in making sure that they do their homework before making their selections and a good set of bylaws helps to put the organization&#039;s policies out front for all board members to know where the organization stands in regards to conflicts of interest.]]></description>

Category 3, though, I must say includes many people who belong in jail, and I don&#039;t think that fact can be soft-pedaled. In addition to helping boards both avoid selecting such people in the first place and spot them as early as possible when they &quot;slip over to the dark side,&quot; we need to make it clear to our fellow board members that they know we will be the ones who are turning them in and putting on the handcuffs should they abuse their position in any way.
